1. Purpose
These terms of use and sale ("Terms") govern access to and use of the DropTrace software (the "Service"), published by [COMPANY NAME TO BE COMPLETED] ("DropTrace", "we"), by any person creating an account ("the User", "you"). By creating an account, you accept these Terms without reservation.
2. Description of the service
DropTrace is a daily management application for carriers and delivery subcontractors: start-of-shift check-in, daily report (photos, parcel counts), automated calculation of driver pay and revenue, Excel export, and — for depot manager accounts — a consolidated view across several subcontractors.
3. Account creation and roles
The Service distinguishes several roles: driver, manager, admin (owner of a subcontractor) and depot manager. A paid account ("subcontractor" or "depot manager") can be created in self-service from the website, or via an invitation from an existing account (e.g. an admin creating a driver account). Each User is responsible for the confidentiality of their credentials.
3bis. Intellectual property and authorized use
The DropTrace software — its source code, architecture, database structure, interface and pricing model — is the exclusive property of DropTrace and is protected by copyright and database rights. Access to the Service, including during a free trial period or a demo, grants only a personal, non-exclusive right of use: it never constitutes a transfer of rights over the software.
Without prior written authorization from DropTrace, it is prohibited to:
- copy, decompile, disassemble or attempt to extract the source code or database structure of the Service;
- use access to the Service — including for demonstration or evaluation purposes — to design, develop or have developed software that substantially reproduces its features, interface or pricing model;
- resell, sublicense or make available to a third party access to the Service outside your own professional use.
Any breach of this clause constitutes infringement and/or a breach of these Terms, which may result in the immediate termination of the account concerned and legal action, without prejudice to damages.
4. Free trial
Every new "subcontractor" or "depot manager" account gets a 2-month free trial, no credit card required, giving access to all features. At the end of the trial, access to the management area is suspended until a subscription is activated; existing data is kept.
5. Pricing and billing
Current rates are shown on the Subcontractor and Depot manager pages of the site. They are expressed in euros, excluding or including tax as explicitly stated. Payment is handled by our provider Stripe (recurring automatic charge on the registered card, monthly or annual depending on the chosen plan). DropTrace never stores card data — it is processed directly by Stripe.
For depot manager accounts, the rate decreases by tier depending on the number of attached subcontractors ("slots"), recalculated automatically each time a slot is added or removed.
6. Term, cancellation and suspension
The subscription has no fixed term and automatically renews every period (monthly or annual) until cancelled. Cancellation can be done at any time from the management area (Shop / Subscription) and takes effect at the end of the current period. In case of a failed payment, access may be suspended until resolved; data is never deleted solely because of an unpaid invoice.
7. Content submitted by the User
Photos, counts and information entered in the application (start-of-shift check-ins, daily reports, complaints) remain the property of the User or the company they are attached to. DropTrace only uses them to provide the Service (calculations, display, export) and, where anonymized, to improve it.
8. Availability and liability
DropTrace uses reasonable means to ensure the availability and reliability of the Service, without guaranteeing the total absence of interruption or error. DropTrace cannot be held liable for indirect losses (loss of revenue, data loss resulting from non-compliant use) nor for decisions made solely on the basis of automated calculations (pay, revenue) without verification by the User.
9. Protection of personal data
The processing of personal data is detailed in our privacy policy (GDPR), which is an integral part of these Terms.
10. Changes to these Terms
These Terms may be updated; the last modification date appears at the top of this page. Substantial changes will be communicated by email to active Users before they take effect.
11. Governing law
These Terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the Belgian courts, failing prior amicable resolution.
